The Flowr Corporation Announces Cease Trade Order and Suspension of Trading

TORONTO, May 11, 2022 (GLOBE NEWSWIRE) — The Flowr Corporation (“Flowr” or the “Company”) (TSXV: FLWR, OTC: FLWPF) announces that the Ontario Securities Commission has issued a cease trade order (“CTO”) against the Company for the Company’s failure to file the following periodic disclosure documents (the “Annual Filings”) by the filing deadline of May 2, 2022:

  • the audited annual financial statements of the Company for the year ended December 31, 2021;

  • the management’s discussion and analysis of the Company for the year ended December 31, 2021; and

  • certificates of each of the Interim Chief Executive Officer and the Chief Financial Officer relating to the audited annual financial statements.

In addition, effective May 6,2022, the TSX Venture Exchange (“TSXV“) has suspended trading in the Company’s securities as a result of the issuance of the foregoing CTO.

As previously announced on May 2, 2022, the Company anticipates that it will complete the Annual Filings on or before May 16, 2022. Upon completion of the Annual Filings and revocation of the CTO by the Ontario Securities Commission, the Company will submit required materials to the TSXV requesting the reinstatement of trading. Revocation of the CTO and reinstatement of trading are expected to occur within a few days after the Annual Filings are made.
